According to the company's articles of association, all shares of Seagull Sanitary Ware are ordinary shares, and dividends are distributed in cash or stocks according to the proportion of shares held by shareholders. In principle, the company distributes dividends every fiscal year. Within six months after the end of each fiscal year, the company’s board of directors will propose a dividend distribution plan based on a number of important factors such as operating performance, financial status, cash flow, and future development plans. After the shareholders' general meeting makes a resolution on the dividend distribution plan, the company's board of directors must complete the dividend distribution within two months of the shareholders' meeting.
The company’s distributable profits include current year’s after-tax profits and undistributed profits carried forward from the previous year. When distributing the after-tax profits of the current year, 10% of the after-tax profits should be allocated to the statutory common reserve fund (if the cumulative amount is more than 50% of the company’s registered capital, it can no longer be drawn). After the statutory common reserve fund is drawn, the shareholders’ meeting may decide to Withdrawal of any provident fund; if the previous year's losses are incurred, it shall be made up first, and when the statutory provident fund is insufficient to make up, it shall be made up with the current year’s after-tax profit.
